Welcome to Clerkly. This End-User License Agreement ("EULA") and Terms of Service govern your use of the Clerkly mobile application (the "Licensed Application"). By downloading, installing, or using the Licensed Application, you agree to be bound by these terms.
1. Acknowledgement
This EULA is concluded between you ("End-User") and Ali Nazzal ("Developer") only, and not with Apple, Inc. ("Apple"). The Developer, not Apple, is solely responsible for the Licensed Application and the content thereof. This agreement does not provide for usage rules that conflict with the Apple Media Services Terms and Conditions.
2. Scope of License
The license granted to you for the Licensed Application is limited to a non-transferable license to use the Licensed Application on any Apple-branded Products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that such Licensed Application may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.
3. Maintenance and Support
The Developer is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this EULA or as required under applicable law. Developer and End-User acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.
4. Warranty & Refund Policy
The Developer is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, the End-User may notify Apple, and Apple will refund the purchase price for the Licensed Application to that End-User. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the Developer’s sole responsibility.
5. Product Claims
Developer and End-User acknowledge that the Developer, not Apple, is responsible for addressing any claims of the End-User or any third party relating to the Licensed Application or the end-user’s possession and/or use of that Licensed Application, including: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
6. Intellectual Property Rights
Developer and End-User acknowledge that, in the event of any third-party claim that the Licensed Application or the End-User’s possession and use of that Licensed Application infringes that third party’s intellectual property rights, the Developer, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
7. Legal Compliance
The End-User must represent and warrant that (i) he/she is not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) he/she is not listed on any U.S. Government list of prohibited or restricted parties.
8. Third-Party Terms of Agreement
You must comply with applicable third-party terms of agreement when using the Licensed Application (e.g., you must not be in violation of your wireless data service agreement or cloud storage provider terms when utilizing sync services).
9. Third-Party Beneficiary
Developer and End-User acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this EULA, and that, upon the End-User’s acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against the End-User as a third-party beneficiary thereof.
10. Disclaimer of Professional Advice
Clerkly is a personal expense tracking and receipt management utility. The Licensed Application and its features are provided for informational and organizational purposes only and do not constitute tax, accounting, financial, or legal advice. You are solely responsible for reviewing and verifying all parsed expense records, receipt scans, and calculations before using them for official tax filings, business audits, or legal reporting.
11. Data Storage & Risk of Loss
Clerkly operates on a local-first architecture with personal cloud synchronization (e.g., iCloud). We do not operate external database servers storing your expense history or receipt files, and we cannot retrieve, restore, or recover your records on your behalf. You acknowledge and agree that if you delete the App, lose your device, experience hardware failure, or disable cloud syncing without an adequate backup, your data may be permanently lost. You assume all risk of data loss associated with your use of the App.
12. AI & OCR Text Parsing Disclaimer
Optical character recognition (OCR) and automated receipt text extraction rely on third-party cloud artificial intelligence infrastructure provided for convenience. While we strive for precision, automated text processing is inherently subject to errors. Text parsing may misread merchant names, dates, amounts, line items, or tax calculations. You acknowledge that AI features are provided strictly as convenience tools and that you retain sole responsibility for manually auditing and confirming all parsed data.
13. In-App Purchases & Subscriptions
Clerkly offers digital subscriptions and/or lifetime access passes through Apple's App Store in-app purchase system.
- Billing & Renewal: Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
- Management & Refunds: You can manage or cancel your subscription at any time by accessing your App Store account settings. All payment processing, subscription cancellations, and refund requests are governed directly by Apple's standard App Store policies.
- Fair Use & Usage Limits: To ensure service quality and prevent abuse, we may impose reasonable rate limits on certain features, such as receipt scanning. Usage limits differ by tier: the free tier is subject to stricter limitations than Pro access (by subscription). Current limits are published on our support page. We reserve the right to adjust these limits from time to time.
14. Warranty Disclaimer
The Licensed Application is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Ali Nazzal shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, tax penalties, audit adjustments, business interruption, or personal property loss resulting from your use of or inability to use the App.
16. Governing Law
This EULA and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law principles.
17. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting to this page with an updated "Last Updated" date. Your continued use of the App following the posting of changes constitutes your acceptance of such modifications.
